2. Service Description

Validiti provides anti-money laundering (AML) compliance verification services, including:

• Identity verification for property sellers
• Document collection and verification
• Property ownership verification
• Compliance reporting for estate agents
• Digital management of estate agency agreements

3. User Types and Eligibility

Estate Agents:

• Must be a registered business entity
• Must have legitimate AML compliance obligations
• Must provide accurate company information

Property Sellers:

• Must be 18 years or older
• Must be the legal owner or authorized representative
• Must provide truthful and accurate information

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring all information provided is accurate and current

5. Acceptable Use

You agree NOT to:

• Use the service for any unlawful purpose
• Submit false or misleading information
• Impersonate another person or entity
• Interfere with or disrupt the service
• Attempt to gain unauthorized access
• Use the service to facilitate money laundering or fraud

6. Verification Process

By using our service, you acknowledge that:

• We use third-party services (Sumsub) for identity verification
• Biometric data may be processed for identity verification
• Documents submitted must be genuine and unaltered
• Verification decisions are based on automated and manual processes
• We reserve the right to request additional documentation

7. Data Protection and Privacy

Your use of our service is also governed by our Privacy Policy. By using Validiti, you consent to the processing of your data as described in the Privacy Policy.

8. Document Retention

In accordance with AML regulations:

• We retain verification data for 5 years
• You may not delete verification records during this period
• Documents are stored securely in UK-based data centers

9. Fees and Payment

Estate agents may be subject to fees for using our service. Current pricing is available upon request. We reserve the right to change our fees with 30 days' notice.

10. Intellectual Property

The Validiti platform, including all content, features, and functionality, is owned by Veridian Corp Limited and is protected by copyright, trademark, and other intellectual property laws.

11. Disclaimers

• Our service is provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not responsible for the ultimate compliance decisions made by estate agents
• Verification results are based on the information and documents provided

12. Limitation of Liability

To the fullest extent permitted by law, Veridian Corp Limited shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the fees paid for the service in the past 12 months

13. Indemnification

You agree to indemnify and hold harmless Veridian Corp Limited from any claims arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Any false or misleading information you provide

14. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Suspected fraudulent activity
• Legal or regulatory requirements
• Extended period of inactivity

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Veridian Corp Limited regarding the use of Validiti.
